Terms & Conditions

In these Terms, the following words carry the meanings assigned: "Platform" means the Sovereign AI Compute Platform operated at founder.drpcoa.com and its associated sub-domains.

"Seat" means a Founding Pass reservation (Free Core, SuperSonic Studio, Sovereign Campus, or Founder's Desk) granting access to compute allocations.

"Founder" or "Member" means any individual or entity that completes a seat reservation.

"Prince Charles Ejikeme" or "We" refers to the Chief Architect and operational entity behind the Platform.

"GPU Rack" refers to the physical compute hardware owned and operated by the Platform.

"NGN" means Nigerian Naira; "USD" means United States Dollar.

2.1 By reserving a Founding Seat you are purchasing defined annual compute allocations — NOT an equity stake, security, or financial instrument of any kind.

2.2 The 2,015 founding seat cap is absolute and enforced by cryptographic proof at the contract level.

No seat shall be created beyond this limit under any circumstance.

2.3 Seat access is annual and non-transferable.

Accounts may not be sold, gifted, or assigned to third parties without written consent.

2.4 Year 1 pricing is locked for the first 12 months.

Year 3 pricing (SuperSonic Studio $199/yr, Campus ₦70,000/yr, Desk ₦1,350,000/yr) applies upon annual renewal in Year 3 onwards, as publicly disclosed during the presale period.

3.1 Payments are processed via Stripe (USD), Paystack (NGN), or Flutterwave (NGN).

All payment processors are PCI-DSS compliant.

3.2 Transactions are non-refundable once a seat is confirmed and a verification email has been dispatched, except where prohibited by applicable consumer protection law.

3.3 The default founding coupon code DRPCOA26 grants a 5% discount off listed prices.

Only one coupon code may be applied per reservation.

3.4 Failed or disputed payments result in immediate seat suspension pending resolution.

Fraudulent chargebacks result in permanent account termination.

4.1 Members may not use allocated compute capacity to generate content that is illegal, defamatory, hateful, violent, sexually exploitative of minors, or that infringes third-party intellectual property.

4.2 Automated scraping of the Platform, reverse engineering of inference weights, or systematic probing of API infrastructure is strictly prohibited.

4.3 Members may not resell, sublicense, or commercially redistribute compute allocations to third parties.

4.4 The Platform reserves the right to suspend or terminate access upon detection of policy violations without refund.

5.1 All Platform software, infrastructure, design, inference weights, branding, and documentation are the exclusive intellectual property of Prince Charles Ejikeme and associated entities.

5.2 Content generated by a Member using Platform compute capacity remains the property of that Member, subject to no claim by the Platform.

5.3 Members grant the Platform a non-exclusive licence to display member-provided profile information for dashboard purposes.

6.1 To the maximum extent permitted by law, the Platform's aggregate liability for any claim shall not exceed the total fees paid by the Member in the 12 months preceding the claim.

6.2 The Platform is not liable for indirect, consequential, incidental, or punitive damages including lost profits, data loss, or service interruption.

6.3 The Platform does not guarantee specific AI output quality, model availability, or inference throughput beyond published allocation quotas.

GPU Rack uptime targets 99.98% but is not contractually guaranteed.

7.1 These Terms are governed by the laws of the Federal Republic of Nigeria.

7.2 Any dispute arising under these Terms shall first be referred to good-faith mediation for 30 days before formal proceedings.

7.3 You consent to the exclusive jurisdiction of the courts of Lagos State, Nigeria for resolution of unresolved disputes.

7.4 These Terms constitute the entire agreement between the parties and supersede all prior representations.

8.1 We reserve the right to amend these Terms at any time.

Significant changes shall be communicated via email and in-platform notification with at least 14 days advance notice.

8.2 Continued use of the Platform following the effective date of amendments constitutes acceptance of the revised Terms.
